Details still to be added: .
The parties
These terms govern access to and purchase of the VigiaLabs services. The service is provided by ABE International, whose details are shown in the box above. Paid plans are sold by Paddle.com Market Limited, an authorised reseller and merchant of record: Paddle takes your payment, issues the invoice and handles the sales tax on your purchase under its buyer terms and refund policy. ABE International is responsible for what these terms say about the service, its content and its quality.
To subscribe you must be 18 or over and able to enter into a contract. If you subscribe on behalf of a business, you confirm that you are authorised to bind it. You are a consumer if you are an individual acting wholly or mainly outside your trade, business, craft or profession; clauses that apply only to consumers or only to businesses say so.
The service
VigiaLabs observes and documents, on the surfaces and in the markets you choose, what websites, adverts and profiles show: cookie notices, trader identification, use of trade marks and other items described in your plan. The features, limits and price of each plan are shown on the pricing page and in the summary before you pay.
- Reports describe what was observed at a specific date and time. They are not legal advice and do not state that the law has been broken: that is for the competent authority or a court to decide.
- Reviews only load publicly accessible pages, as a visitor would.
- A website may change after it has been reviewed. Check that what was observed is still the case before you report it.
- We do not guarantee that an authority or platform will accept a report or that the website reviewed will correct what is pointed out.
Free trial
You can try the service free of charge for 30 days, with the features shown on the pricing page. No card is needed and each customer can use the trial only once. Nothing is charged when it ends: to continue, you must actively choose a paid plan.
How to subscribe
You subscribe online in these steps: choose a plan, currency and billing period; identify yourself and accept these terms; review the order summary, where you can check and correct any detail before paying; and confirm with a button clearly marked as an order with an obligation to pay.
We will then email you an acknowledgement of your order with these terms in a form you can save and print (Electronic Commerce (EC Directive) Regulations 2002, regulations 9 and 11). We keep the contract on file and you can ask us for a copy. The contract can be concluded in English, Spanish or Catalan.
Price, tax and payment
Plan prices are shown in pounds sterling, euros or US dollars. If you are a consumer, the order summary shows the total price including VAT and any other mandatory charges. Businesses are charged the taxes that apply in their country.
Paddle collects the price with your chosen payment method when you subscribe and at each renewal. Your chosen currency stays the same at renewal. We may change our prices, but not for a period you have already paid for: we will tell you at least 30 days before the renewal to which a new price applies, and you can cancel before then at no cost.
Term, renewal and cancellation
Subscriptions are monthly or annual and renew automatically for the same period unless you cancel before they end. For annual subscriptions we will remind you at least 15 days before the end of the period that you can cancel and what will happen if you do not.
You can cancel at any time from your account, in the same way as you subscribed and without giving a reason. Cancelling switches off renewal and the service continues until the end of the period you have paid for. Upgrades take effect immediately, with a pro-rata charge; downgrades take effect at the next renewal.
Consumers’ right to cancel
If you are a consumer, you can cancel the contract within 14 days of the day it is concluded, without giving any reason (Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, regulation 30). To do so, use the cancellation function in your account or tell us clearly by email (contact@vigialabs.ai) or by post, for example with the model form below. You only need to send your notice before the period ends. We will acknowledge it without delay.
Model cancellation form: “To ABE International (address and email shown on this page): I hereby give notice that I cancel my contract for the supply of the following service: […]. Ordered on: […]. Name of consumer: […]. Address of consumer: […]. Signature of consumer (only if this form is sent on paper). Date: […]”.
We will refund all payments received, through Paddle and to the same payment method, within 14 days of receiving your notice. If you expressly asked for the service to start during the cancellation period, you will pay a proportionate amount for the service provided until you told us you were cancelling (regulation 36). You lose the right to cancel only once the service has been fully performed at your express request. If you subscribed after the free trial, the period runs from the purchase of the paid plan. Where Paddle’s buyer terms differ from this clause, you keep whichever rights are more favourable to you.
Responsible use
The service exists to get breaches corrected, not to put pressure on anyone. So, when you use it, you:
- confirm that you request reviews with a legitimate interest and that you have not asked, and will not ask, the owner of the website reviewed for anything in return;
- state your relationship with the website reviewed: user, customer, competitor or other;
- must not use the service to ask for money, contracts or any other advantage in exchange for not reporting, nor to claim compensation or any payment from the owner of the website;
- must not publish the results or send them to customers, suppliers or other third parties connected with the owner of the website;
- must not access systems without permission or impersonate anyone.
We may limit the number of notices per website and suspend accounts that use the service to pressure or harass, giving notice first unless the seriousness of the case prevents it.
Notices and actions on your behalf
Where your plan includes it and you decide so, VigiaLabs can send a notice to the owner of a website or report a finding to a platform or domain registrar through the channels they provide. By subscribing you authorise us to do so on your instructions and in your name, for as long as you have an active account and plan.
- You decide whether a notice is sent and to which website.
- VigiaLabs sets the content of the notice: you cannot add demands or assessments. We choose the channel according to the recipient’s country and may decline to send a notice where the law of that country does not allow it.
- VigiaLabs does not assess your case legally, does not represent you before the owner of the website and does not make or negotiate claims on your behalf.
- A notice is not a formal letter before action and does not meet any pre-action requirements the law of each country may impose.
- Acting before consumer authorities, self-regulatory bodies or courts is for you or your advisers.
Liability
We will provide the service with reasonable care and skill and as described in your plan. If you are a consumer, you have legal rights in relation to services and digital content that are not as described, not of satisfactory quality or not performed with reasonable care and skill (Consumer Rights Act 2015); nothing in these terms affects them.
If you are a business, and except for fraud, death or personal injury caused by negligence or any other liability that cannot be limited by law, our total liability under each contract is limited to the amount paid in the 12 months before the event giving rise to it, and we are not liable for loss of profit or indirect loss. You are also responsible to us for third-party claims arising from use of the service in breach of these terms, including notices sent on your instructions.
Personal data
We use the details of your account and your users as explained in the privacy policy. If we need to process personal data on your behalf to provide the service, we will do so as your processor under the contract required by article 28 of the UK GDPR.
Changes to these terms
We may update these terms because of changes to the service or the law. We will give you at least 30 days’ notice and, if you do not agree, you can cancel before the change applies, with a refund of any unused part of a period already paid for. Changes do not apply retrospectively to periods already paid for.
Governing law and courts
These terms are governed by the law of Andorra. If you are a consumer living in the United Kingdom, this choice does not deprive you of the protection of the mandatory rules of the law of the part of the United Kingdom where you live (Rome I Regulation, article 6; Consumer Rights Act 2015, section 74), and you may bring proceedings in the courts of the part of the United Kingdom where you live, which are the only courts in which we may bring proceedings against you (Civil Jurisdiction and Judgments Act 1982, section 15B).
If you are a business, the courts of Andorra have jurisdiction.
